Terms & Conditions
1. Scope of Application
These terms apply to all industrial valve supplies and services provided by HD Flow Technology (HD Valve). These General Terms serve as a framework, while specific commercial details shall be defined in the individual Sales Contract or Proforma Invoice.
2. Technical Specifications
Products are supplied based on the technical standards and specifications agreed upon during the inquiry process. The Buyer is responsible for ensuring that the selected specifications meet their specific industrial application requirements. Final production shall follow the technical data confirmed in the order documents.
3. Quotations and Pricing
Prices provided in quotations are valid for the period stated therein. Due to the nature of industrial raw materials, HD Valve reserves the right to review pricing based on current market conditions at the time of final order confirmation.
4. Order Execution and Lead Time
An order becomes binding only after mutual confirmation and fulfillment of the agreed-upon initial conditions (such as down payments or technical approvals). Delivery schedules are estimated based on project requirements and will be updated upon formal order acceptance.
5. Quality Control and Inspection
All HD Valve products undergo standard pressure and leakage testing before dispatch. The Buyer may arrange for inspections by prior agreement. Acceptance of goods is governed by the inspection protocols defined for each specific project or order.
6. Delivery and Incoterms
Trade terms (such as FOB, CIF, or EXW) will be defined on a per-order basis according to Incoterms 2020. The risk and responsibility for the goods transfer from HD Valve to the Buyer in accordance with the agreed-upon Incoterm.
7. Payment Terms
Payment conditions, including methods and schedules, shall be negotiated and specified in the formal Proforma Invoice or Sales Contract. HD Valve reserves the right to suspend production or shipment if payment terms are not met.
8. Confidentiality and Intellectual Property
Technical drawings, designs, and commercial data shared during the business relationship remain the intellectual property of HD Valve. Both parties agree to maintain the confidentiality of all proprietary information exchanged.
9. Warranty and Limitation of Liability
All warranty periods, performance guarantees, and liability limits are strictly governed by the specific terms and conditions set forth in the individual Sales Contract or Purchase Order. In the event of any discrepancy, the terms of the specific contract shall prevail.
10. Governing Law
These terms and any subsequent agreements are governed by the laws of the People’s Republic of China. Any disputes shall be resolved through amicable negotiation or via the legal jurisdiction specified in the final contract.
